TERMS AND CONDITIONS DEFINITIONS: 1. “Agreement” means this document and all its appendices. 2. “Client” refers to a purchaser of the Company’s Projects. 3. “Order” means any purchase order placed by the Client to the Company through the Agent, for the supply of Projects. 4. “Parties” means the Agent and the Company. 5. “Projects” means services and products supplied and/or installed by the Company. 6. “Quotation” means the quotation for the projects and/or services to be provided by the Company to the Client. 7. “Specification” means technical documentation provided by the Company. 8. “Territory” means a specified geographical location to be assigned in writing to the Agent. A. WHEREAS: 1. The Company will supply the Projects more particularly described hereunder to Client and install the Projects in accordance with the terms and conditions contained in this Agreement: a. Solar Water Pumping b. Solar Water Heater c. Off-Grid Solar Solution d. Solar Street Lights e. Power Inverter Solution 2. Subject to the terms and conditions contained in this Agreement, the Company hereby agrees to install Projects in accordance with the Specification requested by the Client and the Quotation supplied by the Company. The Agent will bring in Orders from Client, while Client will pay the price in accordance with the Quotation as provided for in this Agreement. And in the event of any inconsistency between the Quotation and the terms of this Agreement then the Quotation shall take precedence, where it relates only to pricing and Specification of Projects. 3. The Agent is an independent contractor who will market Projects in its assigned Territory. B. TERMS AND TERMINATION 4. This Agreement shall come into force upon the execution of this Agreement. 5. This Agreement shall be for a period of 12 months only and may be renewed by mutual agreement of the Parties upon the same or different terms and conditions for any further period. 6. Provided however that either party may, without proferring any reason and without prejudice to its other rights or remedies, terminate this Agreement with four (4) weeks’ notice in writing to the other party. C. ORDER PROCESS 7. Ordering process will commence with the request of a Client through the completion and submission of the Company’s technical questionnaire. The questionnaire will thereafter be analyzed by the Company. The analyzed questionnaire with recommendation will be forwarded to the Client either directly where possible or through the Agent. A fit-for-purpose solution would thereafter be agreed and quoted for. The conditions and terms of payment for project will be stipulated on the Quotation. Quotations will be prepared by the Company only. 8. All Orders placed by a Client shall be made in accordance with the Quotation and specification in operation at that time and will be executed by the Company accordingly. D. PAYMENT TERMS, PRICE AND INVOICING 9. The Company will pay the Agent a commission fee of 5.77% of the selling price of Project only as stated on the Quotation. 10. The Company shall deduct Value Added tax and Withholding Tax and any such tax that may be applicable from any commission fee payable to the Agent before payment. 11. Payment to the Agent will be on a pro-rata basis after deduction of installation charges. For pro-rata payment to the Agent, the first payment due to the Agent (A) will be a percentage of the balance of the advance payment received from client (C) less total installation charges (B) as indicated in the formula A = (C – B) x 5.77%. Subsequent and final payments due to the Agent shall be based on the amount paid by the Client multiplied by the Agent commission fee percentage of 5.77% less statutory deductions. 12. The Company shall only honour Orders that comply with the validity period stated on the Quotation. E. AGENT’S RESPONSIBILITIES 13. The Agent shall during the subsistence of this Agreement: a. Provide regular market and Client profiles to the Company. The Company will use such information to plan its projects development programme. b. Prospect, market and bring Client for the Company and receive commission on concluded and executed and paid for transactions only. c. The Agent shall be required to report general market situation to the Company on a regular quarterly basis or as may be demanded by the Company. F. COMPANY’S RESPONSIBILITIES 14. The Company shall during the subsistence of this Agreement: a. At Agent’s request, make available promotional, technical documentation and point of sales promotional material subject to availability. b. Keep the Agent informed with regards to changes and development in Projects. G. DELIVERY, INSTALLATION, AFTER-SALES SERVICE AND OPERATION 15. The Company’s engineers and/or technicians shall install the projects on Client’s site and shall offer equipment maintenance when necessary at a predetermined cost. The Client shall be responsible for the operation of the equipment. The Agent is to advise the Client to abide with the guidelines given by the Company’s engineers and/or technicians. The Agent is not to carry out any installation and after-sales services on the Projects without written authority from the Company . 16. The Company shall not be liable for the actions and omissions of the Agent, and in the event of any liability the Agent hereby agrees to fully indemnify the Company to the full extent of the same. 17. The Agent shall provide an Indemnity Insurance Policy in the sum of N10Million [Ten Million Naira] only. H. FORCE MAJEURE 18. Neither party shall be responsible for any failure or delay in performance of its obligations under this Agreement due to an event beyond the party’s reasonable control including but not limited to: an Act of God; weather; refusal of license (other than as a result of any act or omission of a party) or other Government act or omission; any act or omission of competent authority; war; military operations; terrorist action; riot; or civil disturbances; fire; explosion; accident; lightning damage; electromagnetic interference; radio interference; strikes; work stoppages; slowdowns; industrial dispute, lockouts, the act or omission of any party for whom a party is not responsible; delays by suppliers or material shortages or any other cause beyond their reasonable control PROVIDED HOWEVER that where the delay continues for up to 45 days the party aggrieved by the non-performance shall have the option of terminating this Agreement without prejudice to subsisting rights of the parties under this agreement. I. NOTICE 19. Any notice required under this Agreement to be served on either party shall be served either personally or by a reputable courier service provider on the party at the addresses above-stated
